Terms of Service

1. Agreement

These Terms of Service (“Terms”) are a contract between you and BennyBooks (“BennyBooks”, “we”, “us”) for use of our website, product, agent API, and related services (the “Service”). If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

2. The Service

BennyBooks is accounting software for small companies. It centers on transactions, notes, and receipts, with dashboards, connectors, and optional AI-agent access through a scoped REST API (and MCP bridges you configure). Features may change as we improve the product.

3. Accounts and organizations

• You must provide accurate account information and keep credentials secure.
• Organization data is scoped to your organization. You are responsible for inviting members and managing their access.
• You are responsible for activity under your accounts, API tokens, and organizations, including actions taken by agents you authorize.

4. Acceptable use

You agree not to:

• Violate law or third-party rights
• Attempt unauthorized access to the Service, other organizations’ data, or our systems
• Interfere with or disrupt the Service, including abuse of rate limits or API quotas
• Upload malware or content that is unlawful, deceptive, or harmful
• Misrepresent agent-proposed changes as already approved or posted when they are still pending human review

5. Your data and content

You retain ownership of ledger data, receipts, notes, and other content you submit (“Customer Content”). You grant BennyBooks a limited license to host, process, transmit, and display Customer Content solely to provide and improve the Service.

You represent that you have the rights needed to submit Customer Content and to connect third-party sources (banks, payment processors, and similar).

6. Agent API and proposals

If you create API tokens, you control their scopes and who can use them. In the current product version:

• Read scopes allow agents to retrieve org-scoped data
• Propose-write scopes create proposals that require human approval before ledger changes post
• Audit logs record agent proposals and human approve/reject decisions

You remain responsible for reviewing proposals and for any outcomes that follow from approvals you grant.

7. Billing

Paid plans are billed through Stripe according to the plan you select. Fees are non-refundable except where required by law or expressly stated otherwise. We may change pricing with notice for future billing periods. Failure to pay may result in suspension or termination of paid features.

8. Third-party services

The Service integrates with third parties (for example Clerk, Supabase, Stripe, storage providers, and bank/payment connectors). Their terms and privacy practices apply to their services. BennyBooks is not responsible for third-party outages or policy changes outside our control.

9. Intellectual property

The Service—including software, branding, documentation, and design—is owned by BennyBooks and its licensors. These Terms do not grant you ownership rights in the Service. Feedback you provide may be used to improve the product without obligation to you.

10. Disclaimers

The Service is provided “as is” and “as available.” BennyBooks does not provide legal, tax, or certified accounting advice. You are responsible for verifying ledger accuracy, approvals, tax filings, and regulatory compliance for your business. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the fullest extent permitted by law, BennyBooks and its suppliers are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities. Our aggregate liability for claims relating to the Service will not exceed the amounts you paid us for the Service in the twelve (12) months before the claim arose.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, create risk for the Service or other users, or fail to pay applicable fees. Provisions that by nature should survive (including ownership, disclaimers, and limitations of liability) will survive termination.

13. Changes

We may update these Terms from time to time. Continued use after the updated Terms take effect constitutes acceptance, except where applicable law requires a different process.

14. Governing law

These Terms are governed by the laws applicable in the jurisdiction where BennyBooks primarily operates, without regard to conflict-of-law rules, except where mandatory consumer or local law provides otherwise.
